Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by LaneLock Technologies, LLC ("LaneLock," "we," "us," or "our"), including the LaneLock and SpotLock applications at lanelocktech.com (the "Service"). By creating an account or otherwise using the Service, you accept these Terms. If you do not agree, do not use the Service.

1. The Service

LaneLock provides software that supports freight-brokerage operations, including pre-dispatch driver verification (SpotLock), carrier and customer recordkeeping, lane and rate analytics, and related tooling. The Service is intended for use by adult commercial freight brokers, motor carriers, dispatchers, drivers, and shippers in the United States and Canada.

2. Accounts

You may need to create an account to use parts of the Service. You agree to provide accurate information and to keep it current, to safeguard your credentials, and to be responsible for activity that occurs under your account. We may suspend or terminate accounts that violate these Terms or applicable law.

SpotLock SMS — the short version.

4.1 Authorization chain

The driver's mobile phone number is provided to LaneLock by the dispatcher representing the motor carrier for a specific dispatched load. Before submitting the dispatcher form, the dispatcher expressly confirms in writing on the form that they (a) have informed the named driver that LaneLock will send a one-time SMS to that driver's phone for verification, (b) have obtained the driver's consent to receive the message, (c) are authorized to share the driver's phone number with LaneLock for this purpose, and (d) authorize LaneLock to send the verification message. Drivers can opt out by replying STOP to any SpotLock SMS.

4.2 Message content and use

SpotLock messages are strictly transactional and limited to driver verification for a specific dispatched load. We do not send marketing, promotional, or unrelated content over SMS, and we do not share phone numbers with third parties for marketing.

5. Driver verification submissions

If you are a driver completing a SpotLock verification, by submitting photos and information you confirm that you have provided accurate identity and equipment information, that you have authority to operate the equipment shown, and that you consent to LaneLock's collection, retention, and use of the submitted information as described in our Privacy Policy. False or misleading submissions may be reported to the dispatching broker, motor carrier, and relevant authorities.

6. Intellectual property

The Service, including software, content, designs, and trademarks, is owned by LaneLock Technologies, LLC and its licensors and is protected by intellectual-property laws. You receive a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during the period your account is active. You may not copy, modify, or create derivative works of the Service except as expressly permitted.

Content you submit through the Service remains yours; you grant LaneLock a worldwide, royalty-free license to host, process, display, and otherwise use that content as needed to provide the Service.

7. Fees and payment

If your use of the Service is subject to a subscription or per-use fee, the applicable price, billing period, and payment terms will be set out in your order or in the application. Fees are non-refundable except as required by law or expressly stated. We may change fees on reasonable notice.

8. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, LaneLock disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or trade. We do not warrant that the Service will be uninterrupted, error-free, or that all defects will be corrected. SpotLock verifications are decision-support tools — the dispatching broker and motor carrier remain responsible for their own contractual, regulatory, and safety determinations.

9. Limitation of liability

To the maximum extent permitted by law, LaneLock and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunity, or goodwill, arising out of or in connection with your use of the Service, even if advised of the possibility of such damages. Our total cumulative liability arising out of these Terms or the Service will not exceed the greater of (a) the amounts paid by you to LaneLock for the Service in the twelve (12) months preceding the event giving rise to the claim or (b) one hundred U.S. dollars (US$100).

10. Indemnification

You agree to defend, indemnify, and hold harmless LaneLock and its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) information you submit to the Service, (c) your violation of these Terms, or (d) your violation of any third-party rights, including any consumer protection or telecommunications law (such as the TCPA) where you provided a phone number or other personal information without proper authorization.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, including for violation of these Terms. You may stop using the Service at any time. Provisions of these Terms that by their nature should survive termination will survive, including intellectual-property, disclaimers, limitation of liability, indemnification, and governing law.

12. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. The federal and state courts located in Hillsborough County, Florida have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction in those courts. You and LaneLock each waive any right to a jury trial.

13. Changes

We may modify these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. If we make material changes, we will provide notice through the Service or by email to account holders. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance of the changes.
